The "end customer" is the customer who will receive the goods and who ordered the product from you, we will send to the delivery address. The "sale price" is the price at which the supplier sells the product to you through Webdrop. "Personal data" means any information or data which, alone or in conjunction with any other information, concerns an identified or identifiable natural person ("data subject"), or data considered to be personal data under the legislation on the protection of private life. An identifiable natural person is a person who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to a or more factors specific to physical, physiological, physical and physical factors.   5. Webdrop Platform Terms and Conditions
  6. Webdrop Platform

    Our Webdrop platform is a technical platform that allows you to synchronize the products of our partner suppliers (Webdrop) and your eBay store, Prestashop or all synchronization platforms in the page https://appsync.webdrop-market.com/settings/channels . We're here to make sure the products sync with your store. Webdrop and Webdrop -market is in no way a supplier, we just resell the products of our partner suppliers, so we do not deliver the products, we do not set the selling prices, we do not provide after-sales service, we do not check the products before dispatch. As soon as you place an order, we also place the order with our supplier with the data of the end customers that you have transmitted to us. In the event of a dispute with the supplier, we transmit the data that you transmit to us.

    Webdrop Services

    We make the application available for free (14 days) on certain conditions and pay for more features. We reserve the right to suspend, delete or modify our services or the Webdrop platform without liability to the retailer or supplier.

    • Trial period 14 days: when you register on the platform you have access to all the features of the platform, that is to say you can synchronize the products of our Webdrop suppliers on all channels (https://appsync.webdrop-market.com/settings/channels) present. Similarly for the number of products, however once the 14-day trial period is over you will be redirected to the plan corresponding to all the options you chose during the trial (so as not to remove your settings).
    • During the trial period orders are blocked, you can only synchronize products but you cannot order from suppliers. In order to order it will be necessary to be subscribed.

    Use of the platform

    It is completely forbidden to distribute, license, license, rent, share, the service to any third party. To attempt to connect without having authorization, or to hack the application and the Webdrop platform provided. Likewise, the retailer must not (and does not allow any third party) to: modify, translate, reverse engineer, decompile, disassemble or create derivative works based on the service; (b) bypass any usage limits or other timing or usage restrictions that are built into the Service; remove any ownership notice, label or mark from the Service; frame or reproduce any content that is part of the service; or access the service in order to create a competing product or service, or to copy ideas, features, functions or graphics from the service.

  7. Responsibilities of the retailer or e-merchant
  8. Webdrop product information

    The retailer has the right to use all the information on the card (photo, details, description, etc.). We provide you with the information that the suppliers send us, they are not verified by Webdrop. We therefore do not guarantee the accuracy of the data or the legality of the data. It is therefore important that the retailer checks and sends us by email (contact@webdrop.fr) if there is any false data on the products. Webdrop disclaims responsibility for the data provided by the suppliers on the Webdrop-market platform.

    Price

    Webdrop provided the price of the supplier with 3% mark-up (for payment fees). The retailer is completely free to set the price he wants in order to resell the products. However, you must pay the price indicated on Webdrop at the time of the order.

    Images

    Images must be provided by the vendor without watermarks or annotations of optimal quality and preferably between 2 and 3 images to properly describe the product visually. Webdrop reserves the right to prohibit products with images that it deems not to comply with its quality policy. The goal is to provide the best service to the retailer so they can sell easily.

  10. How Webdrop Shopify App Works

    Orders are received from your Shopify to the Webdrop platform, once received, the retailer must synchronize with Webdrop-market to transfer the order. The order is now on the webdrop-market.com site in order to proceed to payment and send the order to the supplier. This system automates the transmission of data between the Webdrop Shopify application and Webdrop-market. We are in no way responsible if there is an error in the order data for the end customer which are: delivery address, last name, first name, phone number, company name, product SKU, price, costs port. If the retailer sees that there is an error in one of the fields, they can easily edit it on webdrop-market.com before paying and the order is sent to Webdrop.     Ordering between the retailer and the Webdrop application

    Webdrop places orders directly to the supplier for you. The supplier sends the order to the end customer. Once the order is placed and validated (“in preparation”) a sales contract is entered into with the supplier who has the obligation to deliver your end customer. In the event of a dispute with the supplier, we will act as a mediator to defend the interests of the retailer but also the supplier. We are in no way responsible for the products delivered by the supplier but we commit to our retailers to stop working if we notice suppliers that do not meet our requirements and those of our customers (retailers).

    Return policy

    The return will depend on the supplier, it is announced on the product sheet and in the supplier sheet on this link = https://appsync.webdrop-market.com/suppliers.

    Webdrop and Webdrop-market have no power over returns imposed by suppliers. We try to negotiate the best terms for you.

    Delivery in white label

    This delivery guarantees that the dropshipping provider will not provide any brand or marketing tool in the packages to the end customer.

    Processing time

    Order processing times are generally 24 hours but may change depending on the supplier. The overall time is announced on the product sheet by the supplier and is indicative. Processing times and delivery times are different, the delivery time is once the parcel has left the warehouse and the processing time is the time to prepare the order. Webdrop and Webdrop-market have no power over these deadlines, if you never notice too long deadlines please keep us informed on the support pages in order to notify the supplier. We accept no responsibility for the fulfilment of the supplier’s obligations.

    Responsibility

    Webdrop is not a supplier, we are the technical intermediary to facilitate exchanges with suppliers. We are not and cannot be held responsible for the failures of partner suppliers to Webdrop and Webdrop market. Webdrop does not process orders, we send your order directly to the supplier, we facilitate exchanges in this case we cannot be held responsible. EXPRESSLY DISCLAIMS ANY LIABILITY FOR THE PROCESSING OF ANY ORDER, LATE, DAMAGED, BROKEN, UNAVAILABLE, UNLAWFUL DELIVERY, ANY FAILURE TO DELIVER AND ANY DELIVERY TO FAULTY ADDRESS, OR ANY OTHER ACTION, ERROR OR OMISSION CONCERNING THE TREATMENT OR FAILURE TO COMMAND A COMMANDING OFFICER.

  11. Webdrop/Webdrop-market platform services
  12. Webdrop Service

    In this contract, we undertake to make our service available during the time when the “retailer” or e-merchant customer is subscribed. Retailer acknowledges that the service may experience technical interruptions beyond Webdrop's control, including, without limitation, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor issues, computer, telecommunications, internet service provider or hosting facility failures or delays involving hardware, software or power systems over which Webdrop does not have reasonable possession or control. Webdrop cannot be held responsible for data loss due to server failures.

    Responsibility of the retailer (e-merchant)

    Retailer is responsible for all activity that occurs in user accounts and for users' compliance with this Agreement. The retailer agrees to use the service only for lawful purposes. In this regard, the retailer may not, without limitation: use the service to manage illegal operations, use any type of spider, virus, worm, Trojan horse, time bomb or any other code or instruction designed to distort, remove, damage or disassemble the technology underlying the service (including Webdrop proprietary software and applications that may be downloaded from the website), use the service to send any unsolicited commercial communication not authorized by applicable law; endanger any part of a Webdrop or third party system or Internet connection by using the Service; or violate applicable laws (including, without limitation, data protection laws) while using the service or with respect to information collected by the retailer through use of the service. The retailer agrees to comply with all privacy laws applicable to its use of the service and its processing of personal data. If the retailer processes personal data of a data subject residing in the European Economic Area, the terms of the Webdrop data processing addendum (as displayed on the website) apply.

  13. Payment
  14. Payment is made via Stripe and is secured in https. Payment of orders is done by registering the card via our form. Webdrop does not stock credit cards.

  15. Property law
  16. Reservation of rights

    Subject to the limited rights expressly granted in this Agreement, Webdrop reserves all rights, titles and interests relating to the Service, including all related intellectual property rights. This Agreement does not confer on the Retailer any rights other than those expressly set out in this Agreement.

    Retailer Data

    Between Retailer and Webdrop, Retailer will own and maintain ownership of the content provided, stored and processed through the Service ('Reseller Data'). Retailer grants Webdrop a worldwide, free, copyright-free, non-exclusive license during his tenure to access Retailer data in order to provide the service, including storage, hosting and management. of this content; and (create template data (as defined in the section below. Together, Sections 8 and constitute the 'Content License'). Retailer understands that Webdrop, by performing the technical steps required to provide the service, may (a) transmit or distribute Retailer Data over various public or private networks and over various media; and (b) make the necessary modifications to the retailer data to conform and adapt it to the technical requirements of the connection of networks, devices, services or media. Retailer confirms and warrants to Webdrop that it has all the rights, powers and authorities necessary to license the aforementioned content and that use of Retailer data in the manner intended does not infringe the rights of any third party.

    Content Responsibilities

    Retailer is responsible for all content provided hereunder and for compliance with this agreement, including obtaining all licenses, authorizations and authorizations necessary to allow all material containing retailer data to be released. Webdrop layout to be transmitted, hosted and stored.     Model data

    "Model Data" means non-personally identifiable information, data and reports derived from or compiled through the Service, including, but not limited to, demographic data, aggregate user conversion statistics, location and trend data, such as aggregate data and statistics that may indicate: frequency and type of use of the service, and popularity of the service. It is understood that model data is data that does not identify a specific retailer, its business contracts or its end users. As between Webdrop and providers, all rights and title to the model data belong to Webdrop. Therefore, Webdrop is free to use the template data for any purpose, including improving the service.

    Suggestions

    Webdrop has a worldwide, royalty-free, transferable, licensed, irrevocable, perpetual and unlimited license to use and / or incorporate into its products, services and activities any suggestions, requests for improvement, recommendations or other comments. provided by the Retailer regarding the operation of the service.

    Copyright and Trademark Information

    With the exception of supplier data, the Webdrop platform, and the information and material it contains, is the property of Webdrop and its licensors and is protected against unauthorized copying and distribution by the copyright, trademark law, international conventions and other intellectual property laws. All Webdrop product names and logos are trademarks or registered trademarks. Nothing contained on the Webdrop Platform should be construed as granting, by implication, estoppel or otherwise, any license or right to use the Webdrop Platform or any material posted on the Webdrop Platform, through 'framing or otherwise, except as expressly permitted by these general conditions; or with the prior written permission of Webdrop.

  17. Contract length
  18. Abonnement et résiliation

    It is automatically renewed (monthly) until the retailer terminates the service. To cancel the service, simply go to the my account page and click on the cancel subscription button.

  19. General provisions
  20. Relationship of the parties

    The parties are independent contractors. This Agreement does not create a partnership, franchise, joint venture, agency, trustee or employment relationship between the parties.

    Third party beneficiaries

    Any right, disclaimer, release, defense, immunity and waiver of any kind applicable to Webdrop under this Agreement shall also be available and shall extend to the benefits and protection of Webdrop 'Affiliates and their officers, directors and employees and for the purpose of use, Webdrop acts or is deemed to act as an agent or trustee on behalf of and for the benefit of such companies and individuals.

    Notice

    All notices under this Agreement shall be in writing and shall be deemed to have been given when: personal delivery; second business day after mailing; second business day after confirmed faxing; or on the second business day after sending by e-mail. Notifications to each Party shall be addressed to its signatories to this Agreement.

    Divisibility

    If any provision of this Agreement is held to be contrary to law by a court of competent jurisdiction, that provision shall be amended by the court and interpreted so as to best achieve the objectives of the original provision within the limits permitted by law, and remaining provisions of this Agreement shall remain in effect.

    Major force

    Force Except for an obligation to pay costs under this Agreement, no party shall be deemed to have breached this Agreement for any failure or delay in performance caused by reasons beyond its control, including, without however limited thereto, natural disasters, earthquakes, wars, terrorism, communication failures, strikes (other than strikes at the facilities of this party or involving this party). If the performance of one of the parties is prevented by an event of force majeure for a period of more than thirty (30) calendar days, the other party may terminate this contract without further obligation or liability, subject to payment. sums due and payable immediately before the start in the event of force majeure.

    Assignment

    Neither party may assign any of its rights or obligations under this Agreement, whether by law or otherwise, without the prior written consent of the other party (not to be unreasonably withheld). Notwithstanding the foregoing, either party may assign this Agreement in its entirety, without the consent of the other party, in connection with a merger, acquisition, corporate restructuring or sale of all or substantially all of its shares or assets. Any attempt by any party to assign its rights or obligations under this Agreement in violation of this section will be null and void. Subject to the foregoing, this contract binds and benefits the parties, their respective successors and authorized beneficiaries.

    Applicable law

    French law applies to both formal and substantive rules. The Parties confirm that they wish this Agreement and all other related documents, including the Notices, to be written in French only.

    Disputes

    Any order placed carries the customer’s adherence, without any restriction, to the Webdrop Terms and Conditions of Sale. Any dispute relating to the sale (price, terms and conditions, product, etc.) will be submitted to French law before the court closest to its domicile, or to the company’s court as provided for in Article R132-2 of the Consumer Code.

    Autres assurances

    Each Party shall from time to time perform all subsequent acts and shall sign and transmit all other documents reasonably necessary to prove, perform and give full effect to the General Terms and Conditions, both for and within the meaning of this Agreement.

    Complete understanding

    These Terms, the Registration Form, and all external documents referenced therein (including delivery times and requirements for deliverables) constitute the final, complete and exclusive agreement between the parties with respect to the subject matter hereof, and replaces any prior or contemporary agreement, proposal or representation (written or oral) concerning its subject matter.
